Professional Experience
Charmin Shiely has 14 years of experience serving as a trusted advisor to her clients, assisting them in achieving their business objectives through her attentive and innovative strategic legal advising. While she advises a wide array of businesses, her clients include many of the market leaders in the senior housing industry and the maritime industry.

Business Transaction Practice
Ms. Shiely regularly advises clients from a variety of businesses and industries, assisting them in negotiating and drafting contracts used in their day to day operations and shepherding them through significant business transactions, such as public and private mergers, asset sales, commercial finance transactions, public offerings and private placements.

Senior Housing
Ms. Shiely co-chairs the firm's senior housing group. She is lead counsel and close advisor for one of the Northwest's leading senior housing and assisted living facility developers and operators. She frequently assists clients in this industry with commercial and private equity financings for facility construction or refinancing, regulatory matters, and single property and large portfolio M&A transactions.

Maritime Transactions
Ms. Shiely is a senior member of the firm's nationally recognized maritime law practice. Her depth of industry knowledge aids in her ability to counsel the region's leading maritime businesses. Her maritime practice frequently includes vessel build contracts, vessel sales, vessel financing, charter parties and port leases. Ms. Shiely co-leads the firm's maritime transaction group.

Equity and Executive Compensation/ Business Transition
Ms. Shiely is a leader in the area of structuring equity and executive compensation arrangements and ensuring compliance of these arrangements with the myriad of corporate, tax, and securities laws. She is well versed in the various equity and quasi-equity alternatives (i.e. restricted stock, RSUs, LLC profits interests, stock options, SARS, phantom stock, ESPPs), as well as deferred compensation and bonus arrangements. Ms. Shiely also frequently represents both employers and executives in negotiating and drafting executive employment agreements.

Professional & Community Activities
Ms. Shiely serves on the Board of Trustees for YMCA Columbia-Willamette and the Board of Directors of Virginia Garcia Memorial Foundation and is an active participant in the Campaign for Equal Justice. She recently helped found and co-leads Sisters in Spirit, a faith based organization of women leaders. She previously served as chair of the Pastoral Council of Holy Trinity Catholic Church and is currently on the School Advisory Council for Holy Trinity School. Ms. Shiely co-leads Schwabe's Women in Business initiative, which hosts networking opportunities for Portland women business leaders.
