Professional Experience Tom Tongue has extensive experience representing clients in a broad array of business transactions, including mergers and acquisitions, securities, and corporate finance. He serves as primary corporate counsel for several Oregon businesses including Parr Lumber Company, Pacific Interpreters, and Columbia Steel Casting Co. Recent representative transactions include:
• Represented Lexcycle, Inc. (owner of Stanza) in its acquisition by Amazon.com • Represented Danga Interactive, Inc. d/b/a LiveJournal.com in its acquisition by SixApart Ltd. • Represented Bank of Astoria in its acquisition by Columbia Bancorp • Represented Enablement in its acquisition by Manufacturers Resource Network, Inc. • Represented Interactive Technology Limited in its purchase of Megisto Systems, Inc. • Represented DPA, Inc. in its acquisition of Columbia Trust Company • Represented NBG Radio Network, Inc. in its negotiation of its credit facility with MCG Finance Corporation • Represented Pacific Interpreters in its corporate reorganization
Mr. Tongue also maintains an active insurance regulatory practice representing local, regional, and national insurers including Aegon, UnitedHealth Group, PacificSource Health Plans, and Nationwide Insurance Company.
Professional & Community Activities As a fifth generation Oregon attorney, Mr. Tongue is deeply committed to helping the Oregon State Bar and the community in general. He is an adjunct professor at the University of Oregon School of Law where he teaches a course on mergers and acquisitions. Mr. Tongue actively supports the March of Dimes and serves on the board of that organization. He previously served two three-year terms as an elected representative for the Oregon State Bar House of Delegates. He also served on the Steering Committee for Oregon Entrepreneurs Network's Venture Oregon event and volunteered as a coach for the Classroom Law Project's Mock Trial program.
Within the firm, Mr. Tongue chairs the firm's Lateral Integration Committee and continues to serve on the Retirement Plan Committee. Previously, he served on the Hiring Committee and as a Supervisor for the firm's Summer Associate Program.
Law & Politics magazine recognized Mr. Tongue's professional and community activities by naming him a "Rising Star" in 2008 and again in 2009. The Portland Business Alliance recently selected him to participate in its Leadership Portland program. In 2009, the Portland Business Journal named Mr. Tongue one of its "Forty Under 40" runners-up.
