Closing transactions is my business.
How I represent clients at Schwabe
I provide legal advice to businesses, investors, founders, and executives on a broad range of corporate transactions, with an emphasis on mergers and acquisitions, private financings, and strategic business matters.
I have extensive experience representing buyers, sellers, investors, and management teams across numerous industries, including registered investment advisors (RIAs), private equity, software and technology companies, and professional services firms.
My practice includes transaction structuring, due diligence, negotiation of purchase and sale agreements, debt and equity financings, private placements, and other complex business transactions. I have advised clients on founder exits, industry consolidation transactions, independent sponsor acquisitions, and growth capital investments. Many of the transactions I’ve handled have involved cross-border business operations and international stakeholders.
In addition to my transactional practice, I counsel businesses on corporate governance, ownership structures, restrictive covenants, operating and shareholder agreements, executive compensation, and equity incentive arrangements. I also advise on a variety of commercial matters, including SaaS and software licensing agreements, technology contracts, consulting arrangements, and other strategic commercial relationships.
Before returning to private practice, I served as M&A and securities counsel for a publicly traded telecommunications company and as General Counsel for the ownership group behind a globally successful bestselling book and film franchise.
