Focusing on mergers and acquisitions, my work centers on helping clients achieve their business goals. From navigating complex transactions to assisting out-of-state buyers with due diligence, I provide practical advice and tailored solutions designed to meet each client’s unique needs.
I work with clients in a variety of industries on equity financing strategies and designing incentive plans that support their long-term success. For clients big and small, I handle a wide range of corporate matters, including entity formation, equity fundraising and compensation, securities, licensing, commercial contracts, and succession planning.
My background as in-house counsel gave me a deep appreciation for aligning legal approaches with a business’s operations and strategic vision. I make it a point to understand each client’s objectives, allowing me to deliver solutions that drive results. Whether it’s tackling a major acquisition or navigating everyday corporate issues, I’m dedicated to helping businesses move forward with confidence.
Experience
- Advised and structured various F-reorganizations, along with other tax-free reorganizations, in connection with M&A transactions and corporate restructurings.
- Represented various small and mid-size businesses in business sale transactions with local, national, and international buyers, including the sales of a textiles manufacturing company, an outdoor apparel and supply retailer, a reservations software company, and a lumber company.
- Represented multiple developers in financing transactions for high-rise and other large projects, including related equity joint ventures and private offerings to accredited investors.
- Represented various contractors (roofing, HVAC, construction, etc.) in business sales, including sales to private equity-backed buyers.
- Assisted various local startups, from software application to medical device businesses, in early stage financing and growth initiatives.
- Provided counsel to various start-up companies for entity formation and initial fundraising rounds, including start-ups in the mobile application, real estate services, and winemaking industries.
- Served as counsel for borrowers in new loan and refinancing transactions, including loans secured by real property for a senior housing company and a credit facility for a hardwood plywood manufacturer.
- Serves as outside general counsel to a large timber products manufacturer.
- Advised various businesses on contracting, employee incentive plans, and general counsel matters.
- Developed and implemented business transition plans for family-owned and closely held businesses.
- Worked as in-house counsel for a court-appointed receiver in liquidation efforts, including various asset and investment sales and the sale of a private equity fund.
