Experience
- Helped a client raise money via a 506(c) offering using a newly permitted general solicitation of accredited investors to acquire a historic hotel.
- Represented a real estate developer in a $158 million project financing, involving a combination of equity capital, EB-5 funding, senior construction financing and subordinated debt.
- Represented a start-up Alaskan fish-smoking operation in raising equity financing from among members of the local commercial fishing industry.
- Regularly represents real estate developers in commercial bank financing transactions (including HUD, Fannie Mae and Freddie Mac).
- Advised business owner to obtain forensic accounting of records and valuation of company prior to going forward with certain management and financing agreements, successfully avoiding costly long-term involvement with predatory partners.
- Raised private equity capital for Red Rock Biofuels, leading the legal team that helped Red Rock Biofuels secure a private equity investment from Flagship Capital.
- Represented multiple developers in financing transactions for high-rise and other large projects, including related equity joint ventures and private offerings to accredited investors.
